These Terms & Conditions (“Terms”) govern your use of WineAnthology.com (the “Website”) and your purchase of products and services from Clark Circle Liquors Lounge, Inc. d/b/a Wine Anthology (“Wine Anthology,” “Company,” “we,” “us,” or “our”).

By accessing or using the Website, creating an account, or placing an order, you agree to these Terms. If you do not agree to these Terms, please do not use the Website.

1. AGE REQUIREMENT

You must be at least 21 years of age to purchase alcoholic beverages through the Website.

By placing an order containing alcoholic beverages, you represent and warrant that:

• You are at least 21 years old;
• You are legally permitted to purchase alcoholic beverages;
• The recipient of any alcoholic beverage shipment is at least 21 years old; and
• Products purchased from Wine Anthology will be received, possessed, and used lawfully.

Wine Anthology reserves the right to verify age and identity before accepting or fulfilling an order.

A valid government-issued photo identification may be required upon delivery. Alcohol will not be delivered to anyone under 21 years of age.

2. ALCOHOL SALES AND SHIPPING RESTRICTIONS

Alcoholic beverage laws vary by state and locality. Wine Anthology ships alcoholic beverages only to destinations where we determine shipment is permitted and may change available shipping destinations at any time based on applicable laws, regulations, licensing requirements, carrier requirements, or operational considerations.

Certain products may not be available for shipment to particular states or locations.

Current shipping restrictions and policies are available in our Shipping & Returns Policy.

You are responsible for providing accurate shipping information and complying with laws applicable to your lawful receipt, possession, and use of products.

3. TITLE, OWNERSHIP AND INTERSTATE SHIPMENTS

To the extent permitted by applicable law, title to products purchased from Wine Anthology passes to the purchaser in the State of New Jersey upon completion of the sale.

Where permitted by applicable law and applicable to the transaction, the purchaser authorizes Wine Anthology to arrange shipment of purchased products through an authorized common carrier on the purchaser's behalf.

Alcoholic beverage laws vary by jurisdiction. Wine Anthology will ship alcoholic beverages only to destinations where Wine Anthology determines shipment is permitted.

Nothing in these Terms is intended to transfer to the purchaser any legal or regulatory obligation that applicable law places upon Wine Anthology.

Customers are responsible for complying with laws applicable to their possession, receipt, and use of products purchased from Wine Anthology.

4. ADULT SIGNATURE REQUIRED

Alcohol shipments require an adult signature from a person 21 years of age or older at delivery.

Carriers may require valid government-issued identification to verify the recipient's age.

Packages containing alcohol will not be left unattended where an adult signature is required.

If delivery cannot be completed because an eligible adult is unavailable, additional delivery attempts, return shipping, reshipping charges, restocking charges, or other fees may apply where permitted by law.

5. CALIFORNIA PROPOSITION 65

California's Proposition 65 requires warnings regarding certain exposures to chemicals identified by the State of California as causing cancer, birth defects, or other reproductive harm.

Customers purchasing products for delivery in California may receive applicable Proposition 65 warnings on product pages, during the purchasing process, on product packaging, or through other methods required or permitted by applicable law.

6. ORDERS AND ORDER ACCEPTANCE

Submitting an order does not constitute our acceptance of the order.

After you place an order, we may send an electronic confirmation acknowledging receipt. This confirmation does not guarantee that the order has been accepted or will be fulfilled.

Subject to applicable law, Wine Anthology reserves the right to:

• Accept or decline an order;
• Cancel an order;
• Limit quantities;
• Require additional verification;
• Correct pricing or product-information errors; or
• Refuse transactions that we reasonably believe may involve fraud, unauthorized resale, regulatory violations, payment problems, or unlawful activity.

If we cancel an order after payment has been collected, we will provide an appropriate refund for the cancelled portion.

7. PRODUCT AVAILABILITY

All products are subject to availability.

Inventory displayed on the Website may change without notice. A product appearing as available does not guarantee that it will remain available when an order is processed.

Wine Anthology may limit quantities of particular products.

Products will be substituted only where the customer has authorized substitution or as otherwise permitted by applicable law.

8. PRICING, VINTAGES AND PRODUCT INFORMATION

All prices are displayed in U.S. dollars unless otherwise stated.

Prices, promotions, discounts, vintages, and product availability may change without notice.

Online prices may differ from prices offered at Wine Anthology retail locations or through other sales channels.

We attempt to provide accurate product descriptions, photographs, vintages, pricing, and other information. However, typographical errors, incorrect photographs, incorrect vintages, pricing errors, and other inaccuracies may occasionally occur.

Wine Anthology reserves the right to correct errors and cancel or modify affected orders as permitted by law.

Product photographs are illustrative. Labels, packaging, vintages, bottle designs, and other product characteristics may change.

9. PAYMENT

You agree to provide current, complete, and accurate payment and billing information.

By submitting payment information, you represent that you are authorized to use the selected payment method.

Payments may be processed by third-party payment providers. Your use of those services may also be subject to their respective terms and privacy practices.

Wine Anthology may use fraud-prevention, identity-verification, and payment-verification services before processing or fulfilling an order.

10. TAXES

Prices displayed on WineAnthology.com generally do not include applicable sales, use, excise, alcohol, or other taxes unless expressly stated otherwise.

Wine Anthology will collect and remit taxes when required by applicable law.

The purchaser is responsible for applicable taxes, duties, fees, or governmental charges associated with an order that Wine Anthology is not legally required to collect, to the extent permitted by law.

Applicable taxes and charges may be calculated and displayed during checkout.

11. SHIPPING

Shipping charges, available delivery methods, and estimated delivery times are displayed during checkout or otherwise communicated before fulfillment.

Delivery dates are estimates and are not guaranteed unless expressly stated otherwise.

Wine Anthology is not responsible for delays caused by circumstances outside our reasonable control, including carrier delays, severe weather, natural disasters, regulatory restrictions, labor disruptions, or transportation disruptions.

Customers are responsible for providing a complete and accurate shipping address.

Additional charges may apply when an order is returned because of an incorrect address, failed adult-signature delivery, or other circumstances attributable to the recipient.

12. WEATHER AND TEMPERATURE

Wine and certain other products may be adversely affected by extreme temperatures.

Customers may request that an order be held because of weather conditions when that option is available.

Wine Anthology may also delay shipment when we reasonably believe weather conditions could adversely affect an order.

Weather-related holding periods, limitations, or fees will be governed by policies communicated at the time of purchase or contained in our Shipping & Returns Policy.

13. RETURNS, REFUNDS AND DAMAGED PRODUCTS

Returns, refunds, replacements, and damaged-product claims are governed by our current Shipping & Returns Policy and applicable law.

Customers should inspect shipments promptly and contact Wine Anthology as soon as reasonably possible regarding missing, incorrect, or damaged products.

Certain alcoholic beverages may be subject to restrictions on returns or exchanges under applicable law.

Nothing in these Terms limits rights that cannot legally be waived.

14. PRESALE AND UNCLAIMED ORDERS

Products purchased through presale may not be immediately available.

Estimated arrival dates are estimates and may change because of supplier, importer, transportation, regulatory, or other delays outside Wine Anthology's reasonable control.

Unless otherwise required by law or expressly agreed by Wine Anthology, presale and completed orders that remain unclaimed for 12 months after they become available for pickup or fulfillment may be considered abandoned, subject to applicable law.

Customers are responsible for maintaining current contact information.

15. PROMOTIONS, COUPONS AND DISCOUNTS

Promotional offers may be subject to additional terms, expiration dates, product exclusions, geographic restrictions, minimum-purchase requirements, or quantity limitations.

Unless expressly stated otherwise:

• Promotions cannot be combined;
• Discounts have no cash value;
• Promotions may exclude certain products; and
• Wine Anthology may modify or discontinue promotions as permitted by law.

In the event of an error involving a promotion or discount, Wine Anthology may correct the error before completing the transaction.

16. CUSTOMER ACCOUNTS

Certain Website features may require an account.

You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.

You agree to provide accurate information and promptly update information that changes.

Please notify Wine Anthology promptly if you believe your account has been accessed without authorization.

We may suspend or terminate accounts associated with suspected fraud, abuse, unlawful activity, or material violations of these Terms.

17. SMS AND TEXT MESSAGING

If you voluntarily enroll in a Wine Anthology text-messaging program, you consent to receive text messages at the mobile telephone number you provide, subject to the disclosures presented when you enroll.

Messages may include promotional offers, marketing communications, account or order information, abandoned-cart reminders, or other communications associated with the program for which you enrolled.

Consent to receive marketing text messages is not a condition of purchasing any goods or services.

Message frequency may vary. Message and data rates may apply.

You may opt out of marketing text messages at any time by replying STOP to a marketing message. You may receive a confirmation of your opt-out request.

For assistance, reply HELP or contact Wine Anthology Customer Service.

You represent that you are the subscriber or customary user of the mobile number provided and agree to notify us if you discontinue use of or relinquish that number.

Participation in a text-messaging program may also be subject to additional disclosures presented when you enroll.

Wine Anthology may modify or discontinue its text-messaging programs as permitted by applicable law.

18. ACCEPTABLE USE

You may use the Website only for lawful purposes.

You may not:

• Attempt to gain unauthorized access to the Website, accounts, servers, or systems;
• Interfere with Website security or operation;
• Introduce malware or malicious code;
• Use automated systems in a manner that materially disrupts or damages the Website or circumvents reasonable technical restrictions;
• Scrape or extract Website content for unlawful or unauthorized commercial purposes;
• Impersonate another person;
• Submit fraudulent information;
• Use the Website to violate applicable laws; or
• Infringe the intellectual-property, privacy, or other legal rights of Wine Anthology or another party.

Nothing in this section is intended to prohibit legitimate use of assistive technologies, accessibility tools, search engines, or other lawful technologies used to access the Website.

19. INTELLECTUAL PROPERTY

The Wine Anthology Website and its original content, including text, graphics, logos, photographs, software, design elements, and other materials, are owned by or licensed to Wine Anthology and are protected by applicable intellectual-property laws.

Wine Anthology grants you a limited, revocable, nonexclusive, and nontransferable right to access and use the Website for lawful personal purposes.

No ownership rights are transferred to you.

20. REVIEWS AND USER-SUBMITTED CONTENT

If you submit reviews, photographs, comments, or other content, you represent that you have the right to submit that content and that it does not violate applicable law or another person's rights.

You grant Wine Anthology a nonexclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and otherwise use content you voluntarily submit for purposes related to operating, marketing, and improving our business, subject to applicable law.

We may remove content that violates these Terms or applicable law.

21. COPYRIGHT INFRINGEMENT

Wine Anthology respects the intellectual-property rights of others.

If you believe that material available through WineAnthology.com infringes a copyright that you own or control, you may provide Wine Anthology with a written notification containing the information required under applicable copyright law.

A notification should include:

• Identification of the copyrighted work claimed to have been infringed;
• Identification and location of the allegedly infringing material;
• Your name and contact information;
• A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law;
• A statement, made under penalty of perjury, that the information provided is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf; and
• Your physical or electronic signature.

Wine Anthology may remove or disable access to allegedly infringing material and may terminate, in appropriate circumstances, accounts of repeat infringers.

22. THIRD-PARTY SERVICES AND LINKS

The Website may contain links to or integrate services provided by third parties, including payment processors, shipping carriers, analytics providers, advertising services, accessibility services, and social-media platforms.

Wine Anthology does not control third-party websites or services and is not responsible for their content, availability, security, or privacy practices.

Your interactions with third parties may be governed by their respective terms and policies.

23. PRIVACY

Our collection and use of personal information are described in our Privacy Notice, which is incorporated into these Terms by reference where permitted by law.

24. ACCESSIBILITY

Wine Anthology is committed to providing an accessible and user-friendly shopping experience for all customers, including individuals with disabilities.

Customers who experience difficulty accessing information, navigating the Website, or completing a transaction are encouraged to contact Wine Anthology so that we can provide assistance and investigate the issue.

25. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

WINE ANTHOLOGY DISCLAIMS WARRANTIES THAT MAY LEGALLY BE DISCLAIMED, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR RIGHTS THAT CANNOT LEGALLY BE EXCLUDED.

26. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, WINE ANTHOLOGY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO USE OF THE WEBSITE OR PRODUCTS PURCHASED THROUGH IT.

ANY LIMITATION OF LIABILITY WILL APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.

NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LEGALLY BE LIMITED OR EXCLUDED.

27. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless Wine Anthology and its officers, directors, employees, affiliates, and agents from third-party claims, liabilities, losses, and reasonable expenses arising from your unlawful use of the Website, your material violation of these Terms, or your infringement of another person's rights.

28. GOVERNING LAW

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, except where applicable law requires otherwise.

29. DISPUTE RESOLUTION; ARBITRATION; CLASS-ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO HAVE CERTAIN DISPUTES DECIDED BY A COURT OR JURY.

Except for disputes that qualify for small claims court or claims for which arbitration cannot lawfully be required, any dispute, claim, or controversy arising out of or relating to these Terms, your use of WineAnthology.com, your account, or any purchase or transaction with Wine Anthology shall be resolved through binding individual arbitration rather than in court.

A. Informal Resolution

Before initiating arbitration, the party asserting a claim must first provide the other party with written notice describing the dispute and relief requested.

The parties agree to make a good-faith effort to resolve the dispute informally for at least 30 days following receipt of the notice before commencing arbitration.

B. Binding Arbitration

If the dispute cannot be resolved informally, it shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with the applicable AAA Consumer Arbitration Rules, as modified by these Terms.

The arbitrator shall have authority to award the same individual remedies that would otherwise be available in court to the extent permitted by applicable law.

The Federal Arbitration Act shall govern the interpretation and enforcement of this arbitration provision.

C. Individual Claims Only

YOU AND WINE ANTHOLOGY AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE PROCEEDING, TO THE FULLEST EXTENT PERMITTED BY LAW.

Unless both parties agree otherwise, the arbitrator may not consolidate the claims of more than one person or preside over a representative, class, collective, consolidated, or mass proceeding.

D. Small Claims

Either party may bring an eligible individual claim in small claims court instead of arbitration, provided the claim remains within that court's jurisdiction and proceeds on an individual basis.

E. Arbitration Location and Method

Arbitration may be conducted remotely, by telephone, through written submissions, or in person as permitted by applicable AAA rules and law.

If an in-person hearing is required, it shall take place in Union County, New Jersey, unless applicable law or arbitration rules require another location or the parties agree otherwise.

F. Arbitration Costs

Payment of filing, administration, and arbitrator fees shall be governed by applicable AAA rules and law.

Wine Anthology will pay arbitration fees it is legally required to pay.

Each party shall otherwise be responsible for its own attorneys' fees and costs unless applicable law or another enforceable agreement permits an award of attorneys' fees or costs.

G. Court Proceedings

For disputes not subject to arbitration, you and Wine Anthology consent, to the extent permitted by law, to the jurisdiction of appropriate state or federal courts located in New Jersey.

Nothing in these Terms prevents either party from seeking temporary or preliminary injunctive relief from a court of competent jurisdiction when permitted by law.

H. Non-Waivable Rights

Nothing in this Section is intended to waive or limit a right or remedy that cannot lawfully be waived or limited.

I. Severability

If a particular portion of this arbitration provision is determined to be invalid or unenforceable, that portion shall be severed or limited to the minimum extent necessary and the remainder shall continue in effect, except where applicable law requires otherwise.

30. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

31. NO WAIVER

Wine Anthology's failure to enforce a provision of these Terms does not constitute a waiver of that provision or any other provision.

32. CHANGES TO THESE TERMS

Wine Anthology may update these Terms periodically.

When changes are made, the “Last Updated” date at the top of this page will be revised.

Material changes will be communicated as required by applicable law.

Where applicable law requires affirmative consent to a change, continued use of the Website alone will not substitute for such consent.
